General Terms of Use

Preamble.
These general terms of use (hereinafter referred to as the “GTU”) are concluded between any internet user browsing or accessing the Site, as defined below, and its functionalities (hereinafter referred to as the “User(s)”). The website accessible via the following URL link URL LINK (hereinafter referred to as the “Site”) is published and operated by BD LP MONACO – a limited liability company under Monegasque law, registered under identification number 25S10178, with its registered office at 4/6, Rue des Lilas in Monaco (98000) – (hereinafter referred to as “BD LP”), whose activities include all services of study, aid, and assistance in economic intelligence, support for the implementation and control of compliance with national and international regulations relating to the fight against money laundering, terrorist financing, the proliferation of weapons of mass destruction, and corruption, to the exclusion of any other activity.
Article 1 – Purpose
The GTU define and govern the terms of use of the Site by the User, and determine the respective rights and obligations of the User and BD LP in connection with such use. Drafted in French, they are intended to apply exclusively between BD LP and any User wishing to access or use the Site. The GTU can be consulted at any time on the Site, via the link provided at the bottom of the page.
BD LP reserves the right to freely modify the GTU. Any modification will take effect immediately and will only apply to Users using the Site after said modification.
Any use of the Site, as well as any download of presentation brochures, articles, and white papers by the User, constitutes clear and unequivocal acceptance of the GTU.
Article 2 – Access to the Site
The Site provides practical information related to BD LP’s activities. Access to the Site is free for any User, who can access it free of charge by consulting the following URL link URL LINK. Thus, the User agrees to use the Site in accordance with:
- Monegasque laws and regulations, international treaties, and public morality;
- The proper functioning of the Site, particularly by not interfering with its security features;
- The image, reputation, and interests of BD LP.
The User shall not:
- Impersonate BD LP, one of its employees/collaborators, or another User of the Site;
- Use all or part of the Site and its content for commercial purposes;
- Use the Site in connection with any action aimed at competing with BD LP;
In the event of a breach or attempted breach by the User of any of their above obligations, BD LP reserves the right, at its sole discretion, to inform any competent authority and/or to take any action permitted by Monegasque law.
Article 3 – User’s Equipment
All hardware and software necessary for accessing and using the Site remain exclusively the responsibility of the User, who remains solely responsible for the proper functioning of their equipment and their internet access. It is therefore their responsibility to take all appropriate measures to protect their own data, computer systems, and/or software from contamination by potential viruses. The User is solely responsible for their use of the Site.
Costs incurred by connecting to the Site are the sole responsibility of the User.
Any content downloaded is done at the User’s own risk, under their sole responsibility, and automatically implies adherence to these GTU. Consequently, BD LP cannot be held responsible for any damage suffered by the User’s computer or any loss of data resulting from the download.
Furthermore, the User of the Site undertakes to access the Site using recent equipment, free of viruses, and with an updated, latest-generation browser.
Article 4 – Liability and Third-Party Sites
BD LP will endeavor to ensure the availability and accessibility of the Site at all times, subject to any planned maintenance requiring a temporary technical interruption.
However, BD LP makes no commitment regarding the permanent availability and/or accessibility of the Site. Thus, this is an obligation of means, as BD LP cannot guarantee continuous availability of the Site due to the potential occurrence of events beyond its control (cyber-attack, hosting failure, power outage, internet, etc.). BD LP nevertheless undertakes to use its best efforts to restore access to the Site in case of inaccessibility.
The Site may contain hyperlinks allowing the User to be redirected to other content on the Site (internal link) or to third-party sites (external link). These third-party sites are governed by their own terms of use, to which the User is invited to refer. BD LP thus disclaims all responsibility for the User’s access and/or use of external links leading to third-party sites, and all responsibility related to the content of these third-party sites (including product or service offerings, advertising) and any direct or indirect damages that may result therefrom.
BD LP disclaims all responsibility for operations occurring directly between the User and any advertiser, intermediary, influencer, professional, or third-party merchant (including any BD LP partners) with whom the User may have been put in contact through the Site.
Article 5 – Site Management
The Site may contain imperfections and/or inaccuracies. Consequently, BD LP reserves the discretionary right, without prior notice, to alter, modify, interrupt, or delete the content of the Site at any time and for any reason whatsoever, in order to maintain its proper functioning and protection.
BD LP also reserves the right to modify or interrupt all or part of the Site, under the same conditions, through various updates and upgrades. None of the provisions of these GTU can be interpreted as obliging BD LP to maintain the Site.
Article 6 – Intellectual Property
The Site and each of its constituent elements, including texts, articles, newsletters, press releases, presentations, brochures, photographs, etc., are the exclusive intellectual property of BD LP, or are subject to an authorization of use, with the exception of third-party trademarks that may be cited.
The photographs and illustrations used are the exclusive property of BD LP or originate from the Unsplash website (www.unsplash.com).
Unless otherwise provided, the elements presented by BD LP are its exclusive property and are protected by its copyrights. Specifically, the features, database, images, graphics, illustrations, logos, trademarks, patents, copyrights, and all intellectual property rights are held by BD LP.
Thus, any non-compliant use of distinctive signs and/or elements belonging to BD LP that has not been expressly pre-authorized by the latter is strictly prohibited. It is expressly forbidden to reproduce – in whole or in part – the content presented, under penalty of violating provisions relating to counterfeiting. This prohibition also includes any attempt to duplicate, disseminate, or otherwise illegally exploit the content, under penalty of criminal prosecution.
BD LP, provided that the User is qualified to use the Site in accordance with these GTU, grants them a limited license authorizing them: (1) to access the Site; (2) to use it; (3) to benefit from the Site’s functionalities for personal and non-commercial purposes, except in cases expressly accepted by BD LP. Under no circumstances may the User claim any additional right over the Site.
The User is not authorized to reproduce, represent, modify, translate, and/or adapt, in whole or in part, for a fee or free of charge, the Site and each of its constituent elements, nor to reproduce or represent such translations, adaptations, and modifications, in whole or in part, for a fee or free of charge, without the prior written consent of BD LP.
Article 7 – Applicable Law – Competent Jurisdiction
These GTU are governed by Monegasque law.
Consequently, disputes relating to the application, execution, and/or interpretation of the GTU are subject to the exclusive jurisdiction of the competent Monegasque courts according to the applicable provisions.
